1. Acceptance of Terms

By accessing and using the services provided by Aixa Labs ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

Aixa Labs provides artificial intelligence automation solutions, including but not limited to:

  • Voice agent development and deployment
  • Business process automation
  • Custom AI solution development
  • System integration services
  • Analytics and reporting tools
  • Chatbot development and implementation

3. Client Responsibilities

3.1 Information Accuracy

Clients are responsible for providing accurate, complete, and up-to-date information necessary for the delivery of our services. Any delays or issues resulting from inaccurate information provided by the client will not be the responsibility of Aixa Labs.

3.2 Compliance

Clients must ensure that their use of our services complies with all applicable laws, regulations, and industry standards in their jurisdiction.

3.3 Data Security

Clients are responsible for maintaining appropriate security measures for their systems and data that interface with our solutions.

4. Service Delivery and Performance

4.1 Custom Solutions

All solutions provided by Aixa Labs are custom-developed based on client specifications and requirements. Project timelines and deliverables will be outlined in separate service agreements.

4.2 Performance Standards

While we strive to deliver high-performance solutions, we cannot guarantee specific performance metrics unless explicitly stated in a separate service level agreement.

4.3 Maintenance and Support

Ongoing maintenance and support services are available and will be detailed in separate support agreements.

5. Intellectual Property Rights

5.1 Client Data and Content

Clients retain all rights to their data, content, and proprietary information. We will not use client data for any purpose other than providing the agreed-upon services.

5.2 Aixa Labs Solutions

Unless otherwise specified in writing, Aixa Labs retains ownership of all proprietary methodologies, frameworks, and general solutions developed. Client-specific customizations and configurations remain the property of the client.

5.3 Third-Party Components

Our solutions may incorporate third-party software components, which are subject to their respective license terms.

6. Confidentiality

We understand the sensitive nature of business information and maintain strict confidentiality regarding all client data, business processes, and proprietary information. All team members and contractors are bound by confidentiality agreements.

7. Limitation of Liability

To the maximum extent permitted by law, Aixa Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

8. Indemnification

Clients agree to indemnify and hold harmless Aixa Labs from any claims, damages, or expenses arising from the client's use of our services in violation of these terms or applicable laws.

9. Payment Terms

9.1 Fees

Service fees will be outlined in separate project agreements or statements of work. All fees are exclusive of applicable taxes unless otherwise stated.

9.2 Payment Schedule

Payment terms will be specified in individual service agreements. Late payments may result in service suspension and additional fees.

10. Termination

10.1 Termination by Client

Clients may terminate services with written notice as specified in individual service agreements. Fees for completed work and expenses incurred up to the termination date remain due.

10.2 Termination by Aixa Labs

We reserve the right to terminate services immediately if the client breaches these terms or fails to make required payments.

11. Data Protection and Privacy

We are committed to protecting client data and privacy. Our data handling practices are detailed in our Privacy Policy, which forms part of these terms.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under this agreement which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond the reasonable control of such party.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Aixa Labs operates, without regard to its conflict of law provisions.

14. Modifications

We reserve the right to modify these terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the modified terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
